1. General Information

(1) These terms of use (hereinafter referred to as "Terms of Use") govern the use and the granting of rights to use the web applications “molded”, “Mapper” and “VELA” ("BASF Apps") developed and provided cost-free by the Performance Material division of BASF SE, 67056 Ludwigshafen, Germany ("BASF") and made available via a web application.

(2) BASF reserves the right to introduce deviating or additional Third-Party License Terms within the scope of modifications of the BASF Apps, insofar as this is necessary due to additional third-party components or changed Third-Party License Terms.

2. License for the Use of the BASF App

2.1 General Information and Functions of the BASF App

(1) The offer to use the BASF Apps is exclusively addressed to entrepreneurs. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity.

(2) The BASF Apps are part of the so-called "UltrasimWeb". UltrasimWeb is BASF's computer-aided engineering (CAE) platform for Customers of its plastic products.

"molded" is a web-based simulation app for injection molded components. Component models can be simulated with regard to their manufacturability in the injection molding process. The results serve as an initial indication of manufacturability.

"Mapper" is used to prepare simulation models to which material modeling is applied. The basis for this is the local fiber orientation, which comes from an injection molding filling analysis. This orientation is used to describe the appropriate mechanical material model for each area of the simulation model. The result is a prepared simulation model that can be downloaded and further calculated with a so-called finite element solver.

“VELA” estimates the heat loss of hot water storage tanks using a web-based simulation. The estimate is based on factors such as tank dimensions, insulation design, and choice of materials.

The BASF Apps have certain functions that - among other things - technically enable the respective simulation or creation of the simulation model; the functions and the scope of functions encompass solely the extent actually made available for use by the BASF Apps in their current version ("Functionalities").

The use of the BASF Apps is subject to the Intended purpose of the applications in accordance with Section 6.

As part of the use of the BASF Apps, so-called CAD data and/or Customer owned so-called CAE models and/or dimensions or positions uploaded by the Customer as the basis for processing by the respective application, and further requirements, specifications and/or edits are the basis for each specific project ("Input").

Based on the Input, the respective BASF App generates digital results using the respective Functionalities, including assertions, analyses, suggestions and/or proposals ("Output").

The Output can be used independently. The use of the Output requires compliance with the specifications for the Permitted use of the Output in accordance with Section 7.

(3) The use of the BASF Apps requires the prior consent of the User to these Terms of Use.

2.2 Conclusion of Contract

(1) The contract for the use of the respective BASF App is concluded between BASF and the company in whose name and on whose behalf the user uses the BASF Apps ("Customer").

(2) For the purpose of concluding the contract, BASF has submitted an offer to use the BASF Apps as well as these Terms of Use to the Customer electronically, usually by e-mail.

(3) The contract is concluded when the Customer accepts BASF's offer electronically, usually by e-mail. In doing so, the Customer specify to BASF which of the BASF Apps the Customer wished to use (molded, Mapper and/or VELA) as well as one or more persons who are to use the respective BASF App for and within the scope of their activites for the Customer ("User").

(4) The German and English languages are available for the conclusion of these Terms of Use. The Customer can correct input errors during the registration process at any time prior to conclusion by correcting the input via the keyboard.

(6) The Customer ensures that the user(s) only use(s) the BASF apps in accordance with these Terms of Use. The user will be made aware of the Terms of Use during the registration and subscription process.

(7) The Customer also has the option of downloading and saving these Terms of Use at any time via the user interface of the respective BASF App.

2.3 Maintenance and Support of the BASF App

(1) BASF shall provide reasonable access to and use of the BASF Apps. BASF provides access to the BASF Apps in a hosted environment, which allows the Customer to use the Portal over the internet without having him to install and operate the software on his own IT-Infrastructure.

(2) BASF shall use reasonable endeavors to maintain the availability of the BASF Apps for the use by the User at the gateway between the public internet and the network of BASF’s hosting servers. The BASF Apps are “available” if it is usable at the gateway between the public internet and the network of BASF’s hosting servers.

(3) BASF endeavors to ensure trouble-free operation of the Portal during normal business hours of BASF in Germany. Outside of the normal business hours of BASF in Germany, the BASF Apps may also be accessible by User.

(4) BASF is free to restrict access to the BASF Apps in whole or in part, temporarily or permanently due to maintenance work, capacity concerns and other events beyond its control. Basically, BASF will try to maintain the BASF Apps outside of the normal business hours, unless an immediate event requires maintenance during normal business hours.

2.4 Intellectual Property, Trademarks

(1) The BASF Apps may contain graphics, film clips, diagrams, photos and illustrations, user interfaces, audio clips as well as editorial content which may constitute protected content and materials of BASF or third parties. In such case, all rights thereto shall remain the property of BASF or third parties. The Customer shall not use such proprietary content or materials in any manner whatsoever except in the context of the intended use of the BASF Apps in accordance with these Terms of Use.

(2) The word mark "BASF", the BASF logo and other marks, including but not limited to ULTRASIM, used in connection with the BASF Apps are used or registered trademarks of BASF. Other trademarks used in connection with the BASF Apps may be the trademarks of other rights owners. In this regard, BASF reserves all rights in and to the BASF Apps not expressly granted to the Customer under these Terms of Use. Consequently, the Customer is not granted any rights or licenses with respect to the aforementioned trademarks and their use in the context of the BASF Apps.

2.5 Third-Party Websites, Disclaimer

The BASF Apps may contain hyperlinks to websites of third parties. However, the linked contents are not checked in advance. BASF therefore does not adopt these third-party websites or their content as its own. The respective provider or operator of the sites is always responsible for the content of the linked sites. In this context, BASF shall not be liable for any damages that have been caused by or in connection with the use of third-party websites.

2.6 Rights of Use

a. Scope of the License to use the BASF Apps

(1) Subject to Customer’s acceptance of and compliance with these Terms of Use, BASF hereby grants to Customer, for the term of the duration of the contract on the use of the BASF Apps, a royalty-free, non-exclusive and non-transferable right to use the BASF Apps for their Intended purpose as set forth in Section 6 ("License")

(2) The Customer shall not copy, decompile, reverse engineer, disassemble, attempt to obtain the source code of, edit or create derivative works from the BASF Apps or any portion thereof, except to the extent that any of the foregoing restrictions are prohibited by applicable law or to the extent permitted by third-party license terms.

(3) The Customer may not use the BASF Apps if this is not permitted by the applicable export control regulations of Germany, the EU and the USA and the laws of the country in which the BASF Apps were obtained. In particular, the BASF Apps may not be made available for use (a) in/to embargoed countries of the U.S. or (b) to persons on the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Department of Commerce's Denied Persons list or Denied Entity list. The Customer warrants compliance with the foregoing requirements. The Customer will not use the BASF Apps for any purpose prohibited by applicable law.

b. Scope of the License to use Input and Output

(1) The Customer grants BASF, for the duration of the contract on the use of the BASF Apps, the non-exclusive, worldwide, sublicensable, royalty-free right to use the Input to the extent necessary for the functioning of the BASF Apps including the generation of Output and the processing of support requests. Furthermore, the Customer grants BASF - also beyond duration of the contract on the use of the BASF Apps - the non-exclusive, worldwide, royalty-free license to use the Input, sublicensable only to BASF's affiliates (a legally independent company that directly or indirectly controls BASF, is controlled by BASF or is under common control with BASF; "Control" in this context means an interest of at least 50% of the shares), to improve, optimize and further develop the BASF Apps including their algorithms as well as to develop, create or program further applications.

(2) BASF grants the Customer, for the duration of the contract on the use of the BASF Apps, the non-exclusive, worldwide, royalty free right, sublicensable only to affiliated companies (a legally independent company that directly or indirectly controls the Customer, is controlled by the Customer or is under common control with the Customer; "Control" in this context means an interest of at least 50% of the shares) to use the Output for the Permitted use of the Output in accordance with Section 7. However, the Output will only be made available to the Customer for retrieval via the BASF Apps for a reasonable period of time; BASF does not intend to make the Output available for retrieval on a permanent basis.

2.7 Data Privacy

BASF complies with all applicable data protection regulations.

2.8 Termination and Revocation, Lapse of Rights of Use

(1) The contract on the use of the BASF Apps under these Terms of Use is concluded for an indefinite period. It ends upon termination by either party.

(2) Upon termination, all rights of use granted to a party under this agreement shall also lapse, unless they were granted on a permanent basis.

(3) Both the Customer and BASF are entitled to terminate the contract on the use of the BASF Apps at any time after giving four (4) weeks’ notice. Notice of termination must be given in text form.

(4) In the event of the following reasons in particular, BASF may at any time, after giving two (2) weeks' notice, terminate these Terms of Use and revoke the right of use granted to the Customer:

• In the event of changes to the legal situation or case law that make it necessary to adapt these Terms of Use;
• In the event of discontinuation of the operation of the business purpose pursued with the BASF Apps or of the BASF Apps itself;
• In the event of a significant change in the infrastructure behind the BASF Apps (backend);
• In the event of a disruption of BASF's interest in equivalence or integrity (e.g. disproportionate costs for maintaining operation as well as maintenance, further development or due to other adaptation requirements of the BASF Apps);
• If the Customer breaches these Terms of Use, in particular if the Customer has breached a material obligation under these Terms of Use or if the Customer continuously breaches obligations and this breach of obligation either cannot be remedied or the Customer has not remedied the breach of obligation within the period set for remedial action after receipt of a written notice (including by e-mail).

(5) The right of both parties to extraordinary termination shall remain unaffected.

2.9 Third-Party Property Rights

(1) If the contractual use is impaired by third party property rights, BASF shall have the right either to modify the BASF Apps in such a way that the impairment ceases to exist or to obtain the authority that the BASF Apps may be used without restriction and at no additional cost to the Customer in accordance with these Terms of Use.

(2) A possible obligation of BASF to indemnify with regard to third party property rights shall not extend to third party components.

(3) The Customer shall in any case be obliged to inform BASF in writing without undue delay if an infringement of third party intellectual property rights is asserted against the Customer.

3. Warranty and Liability

3.1. No Warranty

(1) The BASF Apps are provided without warranty or representation of any kind. BASF makes no representations or warranties with respect to the BASF Apps.

(a) In particular, BASF does not warrant or represent that the BASF Apps will be error-free or uninterrupted; the BASF Apps are provided "as is". BASF also does not warrant or represent that the Customer will achieve its anticipated result(s) using the BASF Apps.

(b) In particular, it is the Customer's responsibility to use the BASF Apps exclusively on hardware and software environment suitable and to maintain this environment in an up-to-date and functional condition. In particular, BASF does not warrant or represent that the BASF Apps will meet the Customer's demands or that the BASF Apps will work together with other software products of the Customer.

(c) In any case, it is the Customer's responsibility to use the BASF Apps only for their Intended purpose in accordance with Section 6.

(2) The Output is provided without warranty. BASF makes no representations or warranties with respect to the output.

(a) In particular, BASF does not warrant or represent the accuracy, completeness, or suitability of the Output for the Customer’s subsequent use. The Output generated within/by the BASF Apps is a mere simulation result or a simulation model. The Output is of such a nature that it requires further intermediate steps to achieve production readiness and it cannot be used directly as a basis for production.

(b) In any case, it is the Customer's responsibility to observe the specifications for the Permitted use of the Output in accordance with Section 7.

(3) The Customer shall only be entitled to warranty claims for defects if BASF has fraudulently concealed such defects.

3.2. Exclusion and Limitation of Liability

(1) Any liability of BASF is generally excluded.

(2) The above exclusion of liability shall apply mutatis mutandis also for the benefit of BASF's vicarious agents.

(3) The above exclusion of liability shall not apply in the event of intent, gross negligence, injury to life, body or health and in the event of mandatory liability under the Product Liability Act.

(4) In cases of gross negligence, liability for indirect damages, including lost profits, loss of production, or loss of data, is excluded. Otherwise, liability is limited to the damage foreseeable typical for this type of contract.

(5) To the extent permitted by law, BASF’s liability for damages is limited to an amount of EUR 1,000.00 per liability case, but to a total amount of EUR 3,000.00 per calendar year.

(6) Any claims for damages and reimbursement of expenses of the Customer’s due to material defects shall be time-barred after one (1) year from the first use of the BASF Apps. The limitation period shall not apply if BASF has fraudulently concealed the defect or is subject to mandatory liability for other statutory reasons. Section 3.2 para. (3) shall remain unaffected.

3.3 Indemnification

The Customer undertakes to indemnify BASF against all third-party claims resulting from a culpable breach of the requirements for the Intended purpose in accordance with Section 6, in particular in the event that the input provided is not free of third party rights, and in the event of a culpable breach of the requirements for the Permitted use of the Output in accordance with Section 7. The indemnification shall also include reasonable costs of legal defence.

4. Changes to the Content of the BASF App

(1) BASF reserves the right to change or modify the services offered in the BASF Apps or to offer different services, especially with regards to the Functionalities of the BASF Apps. The Customer has no right to demand that the BASF Apps keep certain Functionalities or that further Functionalities will be added to the BASF Apps.

(2) In addition, BASF reserves the right to change or modify the services offered in the BASF Apps or to offer different services,

(a) to the extent BASF is obliged to bring the Functionalities offered by BASF into compliance with the law applicable to the Services, in particular if the applicable legal situation changes;

(b) to the extent that BASF thereby complies with a court judgement or an official decision directed against BASF;

(c) to the extent that the respective change is necessary to close existing security gaps;

(d) if the change is merely beneficial to the Customer; or

(e) if the change is of a purely technical or procedural nature with no significant impact on the Customer.

(3) Changes with only an insignificant influence on the functions of the BASF Apps shall not constitute changes in performance within the meaning of this clause. This shall apply in particular to changes of a purely graphical nature and the mere change of the arrangement of Functionalities.

5. Changes to These Terms of Use / Transfer of Terms of Use

(1) Notwithstanding Section 1.2, BASF reserves the right to amend these Terms of Use at any time with regard to equivalence disruptions or regulatory gaps and to subject the use of the BASF App by the Customer to new or further Terms of Use, whereby the aforementioned amendments will expressly not relate to the content of the services provided by BASF through the BASF Apps. Also excluded are changes affecting the main contractual obligations of the parties; these cannot be unilaterally changed as described in the context of this clause.

(2) BASF shall notify the Customer of the amended Terms of Use at least four (4) weeks prior to the planned effective date via the e-mail address provided during registration and shall separately indicate the new provisions and the date of the planned effective date. At the same time, BASF shall grant the Customer a reasonable period of notice of at least two (2) weeks to terminate the contractual relationship with BASF based on these Terms of Use without notice if the Customer does not agree with the amended Terms of Use. Upon notification of the amended Terms of Use, BASF shall inform the Customer of its right to terminate the contract, the applicable notice period and the significance of silence.

(3) If the Customer does not give notice of termination within the aforementioned period, the amended terms and conditions shall apply upon expiry of the period.

(4) BASF reserves the right to transfer these Terms of Use concluded with the Customer to another company. The Customer will be informed about such a transfer and may rescind from the Terms of Use within ten (10) calendar days after having received the information on the transfer.

6. Intended purpose of the BASF Apps

Customer undertakes to use the BASF Apps only for its Intended purpose. "Intended purpose" within the meaning of these Terms of Use refers to

(1) the use of the BASF Apps exclusively for and within the scope of their provided Functionalities in compliance with all technical requirements necessary for the execution of the specific simulation or the creation of simulation models

(2) the compliance of the following requirements for the Input by the Customer:

• Completeness and correctness; BASF does not check the Input, in particular, neither for completeness, correctness, legality or quality nor for suitability for a specific purpose;
• Suitability for the performance of the simulation and for the simulation purpose pursued by the Customer;
• freedom from third-party rights;
• processable file format;
• freedom from technical defects.

7. Permitted use of the Output

The Customer undertakes to comply with the following requirements when using the Output ("Permitted Use of the Output"):

• Use only for research and development, i.e. as a starting point for the further development of a specific product;
• Internal use, in particular no transfer or licensing to third parties, distribution or making available to the public;
• No direct/immediate use in production and/or manufacturing, regardless of whether prototype or series production;
• No use without own verifications, simulations, tests or inspections, if necessary under real conditions;
• No use in approval and/or certification procedures;
• Compliance with all technical specifications made by the Functionalities in case relevant for the use of the Output

8. Confidentiality

(1) The parties are obliged to keep any confidential information of the other party that comes to their knowledge in connection with the use of the BASF Apps confidential and to use it only for the purpose of providing or using the BASF Apps or as designated in these Terms of Use, in particular Section 2.6.

(2) "Confidential Information" of BASF are all information about the Functionalities of the BASF Apps (including its algorithms, logics and source code), material data and/or material-related library files, the Output as well as all information marked as confidential and/or disclosed orally, in writing, electronically or in any other form which is recognizable as confidential, at the time of disclosure, due to the circumstances of disclosure or the information’s nature. "Confidential Information" of the Customer is the Input.

(3) Excluded from abovementioned obligations are Confidential Information

(4) This confidentiality obligation shall survive the termination of the Terms of Use for a period of ten (10) years, unless otherwise agreed between BASF and the Customer.

9. Feedback

(1) By providing or submitting ideas, recommendations, suggestions or other contributions aimed at improving and/or providing critical feedback on the BASF Apps, in particular their Functionalities or Output ("Feedback"), regardless of whether expressly designated as Feedback, the Customer acknowledges and agrees that BASF may freely use and exploit such Feedback for any purpose without restriction and without any obligation to compensate.

(2) The Customer warrants and represents that the Feedback does not infringe any third party rights. In all other cases, the Customer shall only be liable for damages caused by intent or gross negligence in connection with the provision or transmission of the Feedback.

10. Miscellaneous

(1) If individual provisions of these Terms of Use are or become void or ineffective in whole or in part, this shall not affect the validity of the remaining provisions. In place of the void or invalid provision, BASF and the Customer shall agree on a valid provision which comes as close as possible to the economic purpose of the void or invalid provision, unless a supplementary interpretation of the contract takes precedence or is possible.

(2) BASF's failure to enforce any right or provision in these Terms of Use shall not constitute a waiver of such right or provision. BASF shall not be responsible for any failure to perform any obligation for reasons not attributable to BASF.

(3) These Terms of Use and the use of the BASF App shall be governed by and construed in accordance with German law, excluding its conflict of law provisions, in particular the United Nations Convention on Contracts for the International Sale of Goods of April 11, 1980 ("CISG") and the German conflict of law rules. Place of jurisdiction is Mannheim.

1. Allgemeines

(1) Diese Nutzungsbedingungen regeln die Verwendung einschließlich der Einräumung von Nutzungsrechten an der von der BASF SE, 67056 Ludwigshafen, Deutschland („BASF“) entwickelten und seitens des Unternehmensbereich Performance Materials kostenlos im Rahmen ihres Dienstleistungsangebots „UltrasimWeb“ über verschiedene Webapplikationen bereitgestellte Anwendungen „molded“, „Mapper“ und „VELA“ (zusammen: „BASF Apps“).

(2) BASF behält sich das Recht vor, abweichende oder zusätzliche Lizenzbedingungen Dritter im Rahmen von Modifikationen der BASF Apps einzuführen, soweit dies aufgrund zusätzlicher Drittkomponenten oder geänderter Lizenzbedingungen Dritter erforderlich ist.2

2. Lizenz für die Nutzung der BASF Apps

2.1 Allgemeines und Funktionalitäten der BASF Apps

(1) Das Angebot zur Nutzung der BASF Apps richtet sich ausschließlich an Unternehmer. Unternehmer ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.

(2) Die BASF Apps sind Teil des sog. „UltrasimWeb“. Dabei handelt es sich um eine “Computer-Aided Engineering“ (CAE) Plattform der BASF für die Kunden ihrer Kunststoff-Produkte.

„molded“ ist eine webbasierte Simulations-App für Spritzgussbauteile. Bauteilmodelle können hinsichtlich ihrer Herstellbarkeit im Spritzgussverfahren simuliert werden. Die Ergebnisse dienen als erste Indikation zur Herstellbarkeit.

„Mapper“ dient der Vorbereitung von Simulationsmodellen, auf welche eine Materialmodellierung aufgebracht wird. Grundlage dafür ist die lokale Faserorientierung, die aus einer Spritzgussfüllanalyse stammt. Diese Orientierung wird genutzt, um das passende mechanische Materialmodell für jeden Bereich des Simulationsmodells zu beschreiben. Das Ergebnis ist ein aufbereitetes Simulationsmodell, das heruntergeladen und mit einem sog. Finite-Elemente-Solver weiterberechnet werden kann.

„VELA“ schätzt im Rahmen einer webbasierten Simulation die Wärmeverlustleistung von Warmwasserspeichern. Grundlage der Schätzung sind unter anderem die Tankabmessungen, die Gestaltung der Isolation und die Auswahl der Materialien.

Die BASF Apps haben bestimmte Funktionen, die - unter anderem - die Durchführung der jeweiligen Simulation bzw. Erstellung des Simulationsmodell technisch ermöglichen; die Funktionen sowie der Funktionsumfang richtet sich allein danach, wie diese durch die BASF Apps in ihrer aktuellen Version zur Nutzung tatsächlich zur Verfügung gestellt werden („Funktionalitäten“).

Die Nutzung der BASF Apps setzt den Bestimmungsgemäßen Gebrauch der Applikationen gemäß Ziff. 6 voraus.

Im Rahmen der Nutzung der BASF Apps werden sog. CAD-Daten und/oder eigene sog. CAE-Modelle und/oder Dimensionen bzw. Positionen als Grundlage für die Verarbeitung in der jeweiligen Applikation hochgeladen und weitere Vorgaben, Spezifikationen und/oder Bearbeitungen zur Grundlage seines konkreten Projekts gemacht („Input“).

Auf Grundlage des Inputs erzeugt die jeweilige BASF App im unter Nutzung der jeweiligen Funktionalitäten digitale Ergebnisse einschließlich Aussagen, Analysen, Vorschlägen und/oder Hinweisen („Output“).

Der Output kann eigenverantwortlich weiterverwendet werden. Die Nutzung des Outputs setzt die Einhaltung der Vorgaben der Zulässigen Nutzung des Outputs gemäß Ziff. 7 voraus.

(3) Die Nutzung der BASF Apps bedarf der vorherigen Zustimmung zu diesen Nutzungsbedingungen.

2.2 Vertragsschluss

(1) Der Vertrag über die Nutzung der jeweiligen BASF App kommt zwischen BASF und dem Unternehmen zustande, in dessen Namen und auf dessen Veranlassung der Nutzer die BASF Apps geschäftlich nutzt („Kunde“).

(2) Zum Zwecke des Vertragsschlusses hat BASF dem Kunden elektronisch – in der Regel per E-Mail - das Angebot zur Nutzung der BASF Apps unterbreitet und die Nutzungsbedingungen übermittelt.

(3) Der Vertrag kommt zustande, indem der Kunde elektronisch - in der Regel per E-Mail – das Angebot von BASF annimmt. Hierbei benennt der Kunde gegenüber BASF die gewünschte Applikation (molded und/oder Mapper und/oder VELA) sowie eine oder mehrere Personen, der/die für und im Rahmen seiner/ihrer Tätigkeit für den Kunden die jeweilige BASF App nutzen soll/sollen („Nutzer“).

(4) Für den Abschluss dieser Nutzungsbedingungen steht die deutsche und englische Sprache zur Verfügung. Der Kunde kann Eingabefehler im Zuge der Registrierung vor Abschluss jederzeit durch Korrektur der Eingabe über die Tastatur korrigieren.

(6) Der Kunde verpflichtet sich, sicherzustellen, dass der/die Nutzer die BASF Apps nur gemäß diesen Nutzungsbedingungen verwendet/verwenden. Dem Nutzer werden die Nutzungsbedingungen bei Durchlaufen der Registrierung und Subskription als Nutzer zur Kenntnis gegeben.

(7) Der Kunde hat außerdem die Möglichkeit, diese Nutzungsbedingungen jederzeit über die Benutzeroberfläche der jeweiligen BASF App herunterzuladen und zu speichern.

2.3 Pflege und Unterstützung der BASF Apps

(1) BASF ermöglicht den Zugang zu und die Nutzung der BASF Apps in angemessenem Umfang. BASF stellt den Zugang in einer gehosteten Umgebung zur Verfügung, die es dem Kunden ermöglicht, die BASF Apps über das Internet zu nutzen, ohne dass er die Software auf seiner eigenen IT-Infrastruktur installieren und betreiben muss.

(2) BASF wird sich im Rahmen des Zumutbaren bemühen, die Verfügbarkeit BASF Apps für die Nutzung durch den Kunden an der Schnittstelle zwischen dem öffentlichen Internet und dem Netzwerk der Hosting-Server von BASF aufrecht zu erhalten. Die BASF Apps sind "verfügbar", wenn sie am Gateway zwischen dem öffentlichen Internet und dem Netzwerk der Hosting-Server von BASF nutzbar sind.

(3) BASF ist bestrebt, einen störungsfreien Betrieb der BASF Apps während der üblichen Geschäftszeiten von BASF in Deutschland zu gewährleisten. Auch außerhalb der üblichen Geschäftszeiten von BASF in Deutschland können die BASF Apps für den Kunden zugänglich sein.

(4) BASF steht es frei, den Zugang zu den BASF Apps ganz oder teilweise, vorübergehend oder dauerhaft aufgrund von Wartungsarbeiten, Kapazitätsbelangen und sonstigen nicht von ihr zu vertretenden Ereignissen zu beschränken. Grundsätzlich wird BASF versuchen, die BASF Apps außerhalb der üblichen Geschäftszeiten zu warten.

2.4 Geistiges Eigentum, Marken

(1) Die BASF Apps können Grafiken, Filmclips, Diagramme, Fotos und Illustrationen, Benutzeroberflächen, Audio-Clips sowie redaktionelle Inhalte enthalten, die geschützte Inhalte und Materialien der BASF oder von dritten Parteien darstellen können. Alle Rechte daran stehen in diesem Fall im Eigentum von BASF oder von dritten Parteien. Der Kunde ist nicht berechtigt, solche geschützten Inhalte oder Materialien auf irgendeine Weise zu nutzen, außer im Rahmen der bestimmungsgemäßen Nutzung der BASF Apps entsprechend dieser Nutzungsbedingungen.

(2) Die Wortmarke „BASF“, das BASF- Logo und andere Marken, insbesondere ULTRASIM, die im Zusammenhang mit den BASF Apps genutzt werden, sind benutzte oder registrierte Marken von BASF. Andere Marken, die im Zusammenhang mit der BASF Apps genutzt werden, können die Marken von anderen Rechteinhabern sein. BASF behält sich diesbezüglich alle Rechte in und an der BASF Apps, die dem Kunde nicht ausdrücklich unter diesen Nutzungsbedingungen eingeräumt wurden, vor. Dem Kunde werden folglich keine Rechte und keine Lizenzen bezüglich der vorgenannten Marken und deren Nutzung im Rahmen der BASF Apps eingeräumt.

2.5 Websites von Dritten, Haftungsausschluss

Im Rahmen der BASF Apps können Hyperlinks zu Websites von Dritten enthalten sein. Eine vorherige Prüfung der verlinkten Inhalte erfolgt dabei jedoch nicht. BASF macht sich daher weder diese Websites von Dritten noch deren Inhalt zu Eigen. Für die Inhalte der verlinkten Seiten ist stets der jeweilige Anbieter oder Betreiber der Seiten verantwortlich. BASF haftet in diesem Zusammenhang nicht für Schäden, die durch oder in Folge der Verwendung der Websites von Dritten entstanden sind.

2.6 Nutzungsrechte

a. Umfang der Lizenz zur Nutzung der BASF Apps

(1) Vorbehaltlich der Anerkennung und Einhaltung dieser Nutzungsbedingungen durch den Kunde räumt BASF hiermit dem Kunde für die BASF Apps für die Laufzeit des Vertrags über die Nutzung der BASF Apps ein kostenfreies, nicht-exklusives und nicht-übertragbares, Nutzungsrecht („Lizenz“) zum Bestimmungsgemäßen Gebrauch gemäß Ziff. 6 der BASF Apps ein.

(2) Der Kunde darf die BASF Apps oder Teile davon nicht kopieren, nicht dekompilieren, nicht zurückentwickeln, nicht auseinandernehmen, nicht versuchen, den Quellcode der BASF Apps zu erlangen, die BASF Apps nicht bearbeiten oder abgeleitete Werke aus der BASF Apps erstellen, soweit nicht eine der vorgenannten Beschränkungen nach anwendbarem Recht unzulässig ist oder soweit dies nach Lizenzbedingungen Dritter erlaubt ist.

(3) Der Kunde darf die BASF Apps nicht nutzen, wenn dies von den anwendbaren Exportkontrollvorschriften Deutschlands, der EU und der USA und den Gesetzen des Landes, in dem die BASF Apps erworben wurde, nicht erlaubt ist. Insbesondere dürfen die BASF Apps nicht (a) in Embargo-Länder der USA oder (b) an Personen, die auf der „Specially Designated Nationals“-Liste des U.S. Treasury Departments oder auf der „Denied Persons“-Liste oder der „Denied Entity“-Liste des US Departement of Commerce stehen zur Nutzung zur Verfügung gestellt werden. Der Kunde sichert die Einhaltung der vorstehend genannten Anforderungen zu. Der Kunde wird die BASF Apps nicht für Zwecke benutzen, die nach dem anwendbaren Recht verboten sind.

b. Umfang der Lizenz zur Nutzung von Input und Output

(1) Der Kunde erteilt BASF für die Laufzeit der Nutzungsbedingungen das nicht-exklusive, weltweite, unterlizenzierbare, unentgeltliche Recht zur Nutzung des Inputs, soweit diese zur Funktion der BASF Apps einschließlich der Generierung von Output sowie zur Bearbeitung von Support-Anfragen erforderlich ist. Weiter erteilt der Kunde BASF - auch über die Laufzeit der Nutzungsbedingungen hinaus - das nicht-exklusive, weltweite, nur an verbundene Unternehmen von BASF (rechtlich selbstständiges Unternehmen, das BASF direkt oder indirekt kontrolliert, von BASF kontrolliert wird oder sich mit BASF unter gemeinsamer Kontrolle befindet. „Kontrolle“ bedeutet in diesem Zusammenhang eine Beteiligung von mindestens 50% der Anteile) unterlizenzierbare, unentgeltliche Recht zur Nutzung des Inputs zur Verbesserung, Optimierung und Weiterentwicklung der BASF Apps einschließlich deren Algorithmen sowie zur Entwicklung, Erstellung oder Programmierung von weiteren Applikationen.

(2) BASF erteilt dem Kunde für die Laufzeit der Nutzungsbedingungen das nicht-exklusive, weltweite nur an verbundene Unternehmen (rechtlich selbstständiges Unternehmen, das Kunde direkt oder indirekt kontrolliert, von Kunde kontrolliert wird oder sich mit Kunde unter gemeinsamer Kontrolle befindet. „Kontrolle“ bedeutet in diesem Zusammenhang eine Beteiligung von mindestens 50% der Anteile) unterlizenzierbare und unentgeltliche Recht, den Output zur Zulässigen Nutzung gemäß Ziff. 7 zu verwenden. Der Output wird dem Kunde zum Abruf über die BASF Apps jedoch nur für eine angemessene Dauer bereitgestellt; eine dauerhafte Zur-Verfügung-Stellung durch BASF ist nicht vorgesehen.

2.7 Datenschutz

BASF beachtet alle anwendbaren datenschutzrechtlichen Bestimmungen.

2.8 Laufzeit; Kündigung und Wegfall der Nutzungsrechte

(1) Der Vertrag über die Nutzung der jeweiligen BASF App zu diesen Nutzungsbedingungen wird auf unbestimmte Zeit geschlossen. Er endet durch Kündigung einer Partei.

(2) Mit Kündigung fallen auch sämtliche Nutzungsrechte weg, die einer Partei nach diesem Vertrag eingeräumt werden, soweit sie nicht dauerhaft eingeräumt wurden.

(3) Zur ordentlichen Kündigung ist sowohl der Kunde als auch BASF jederzeit berechtigt. Die Kündigungsfrist beträgt 4 Wochen. Die Kündigung bedarf der Textform.

(4) Bei Vorliegen insbesondere der nachfolgend genannten Gründe kann BASF jederzeit nach einer Ankündigungsfrist von zwei (2) Wochen diese Nutzungsbedingungen kündigen und die dem Kunde eingeräumten Nutzungsrecht widerrufen:

• Bei Änderung der Gesetzeslage oder Rechtsprechung, die eine Anpassung dieser Nutzungsbedingungen erforderlich machen;
• Bei Einstellung des Betriebs des mit den BASF Apps verfolgten Betriebszwecks oder der BASF Apps selbst;
• Bei einer wesentlichen Änderung der hinter der BASF Apps stehenden Infrastruktur (Backend);
• Bei einer Störung des Äquivalenz- oder Integritätsinteresses der BASF (z.B. unverhältnismäßige Kosten für die Aufrechterhaltung des Betriebs sowie Pflege, Weiterentwicklung oder aufgrund sonstigen Anpassungsbedarfs der BASF Apps);
• Wenn der Kunde gegen diese Nutzungsbedingungen verstößt, insbesondere wenn der Kunde eine wesentliche Pflicht aus diesen Nutzungsbedingungen verletzt hat bzw. wenn der Kunde Pflichten fortlaufend verletzt und dieser Pflichtverletzung entweder nicht abgeholfen werden kann bzw. der Kunde der Pflichtverletzung nicht innerhalb der zur Abhilfe bestimmten Frist nach Erhalt einer schriftlichen Mitteilung (u.a. per E-Mail) abgeholfen hat.

(5) Das Recht beider Parteien zur außerordentlichen Kündigung bleibt unberührt.

2.9 Schutzrechte Dritter

(1) Wird die vertragsgemäße Nutzung durch Schutzrechte Dritter beeinträchtigt, so hat BASF das Recht, entweder die BASF Apps so abzuändern, dass die Beeinträchtigung entfällt oder die Befugnis zu erwirken, dass die BASF Apps uneingeschränkt und ohne zusätzliche Kosten für den Kunde gemäß den Nutzungsbestimmungen genutzt werden kann.

(2) Eine mögliche Einstandspflicht von BASF bezüglich Schutzrechte Dritter erstreckt sich nicht auf Drittkomponenten.

(3) Der Kunde ist in jedem Fall verpflichtet, BASF unverzüglich schriftlich zu informieren, falls die Verletzung von Schutzrechten Dritter gegenüber dem Kunde geltend gemacht wird.

3. Gewährleistung und Haftung; Freistellung

3.1. Gewährleistung

(1) Die Bereitstellung der BASF Apps erfolgt unter Ausschluss der Gewährleistung. BASF gibt im Hinblick auf die BASF Apps keine Zusicherungen oder Garantien ab.

(a) BASF gewährleistet insbesondere nicht, dass die BASF Apps fehlerfrei und ohne Unterbrechungen laufen; die BASF Apps werden jeweils im aktuellen Zustand („as is“) zur Verfügung gestellt. BASF steht auch nicht dafür ein, dass der Kunde mit der BASF Apps das gewünschte Arbeitsergebnis erreicht.

(b) Insbesondere obliegt es dem Kunden, die BASF Apps ausschließlich auf der dafür zugelassenen Hard- und Software-Umgebung einzusetzen und diese in einem aktuellen und funktionsfähigen Zustand zu erhalten. BASF übernimmt insbesondere keine Gewähr dafür, dass die BASF Apps den Anforderungen des Kunden genügt, oder dass die BASF Apps mit anderen Softwareprodukten des Kunden fehlerfrei zusammenarbeiten.

(c) In jeden Fall obliegt es dem Kunde, die BASF Apps nur zum Bestimmungsgemäßen Gebrauch gemäß Ziff. 6 zu nutzen.

(2) Die Bereitstellung des Outputs erfolgt unter Ausschluss der Gewährleistung. BASF gibt im Hinblick auf den Output keine Zusicherungen oder Garantien ab.

(a) Insbesondere gewährleistet BASF nicht die Richtigkeit, Vollständigkeit des Outputs oder Eignung des Outputs für die Anschlussnutzung. Der im Rahmen der BASF Apps generierte Output stellt ein reines Simulationsergebnis bzw. ein aufbereitetes Simulationsmodell dar. Der Output ist so beschaffen, dass weitere Zwischenschritte zur Produktionsreife erforderlich sind und er nicht unmittelbar zur Grundlage der Produktion gemacht werden kann.

(b) In jeden Fall obliegt es dem Kunde, die Vorgaben zur Zulässigen Nutzung des Outputs gemäß Ziff. 7 zu beachten.

(3) Die vorstehenden Gewährleistungssauschlüsse gelten nicht, wenn BASF Mängel arglistig verschwiegen hat.

3.2. Haftungsausschluss und -begrenzung

(1) Eine Haftung der BASF ist grundsätzlich ausgeschlossen.

(2) Der vorstehende Haftungsausschluss gilt sinngemäß auch zugunsten der Erfüllungsgehilfen von BASF.

(3) Der vorstehende Haftungsausschluss gilt nicht bei Vorsatz, grober Fahrlässigkeit, der Verletzung von Leben, Körper oder Gesundheit und bei zwingender Haftung nach dem Produkthaftungsgesetz.

(4) Im Fall der groben Fahrlässigkeit ist eine Haftung für mittelbare Schäden, einschließlich entgangenen Gewinns, Produktionsausfall oder Datenverlust ausgeschlossen. Im Übrigen ist sie auf den vertragstypischen und vorhersehbaren Schaden begrenzt.

(5) Soweit gesetzlich möglich, ist die Haftung von BASF für Schäden auf einen Betrag von 1.000,00 EUR pro Haftungsfall, insgesamt jedoch auf einen Betrag von 3.000,00 EUR pro Kalenderjahr begrenzt.

(6) Etwaige Schadensersatz und Aufwendungsersatzansprüche des Kunden wegen Sachmängeln verjähren in einem (1) Jahr ab der erstmaligen Nutzung der jeweiligen BASF App. Die Verjährungsfrist gilt nicht, wenn BASF den Mangel arglistig verschwiegen hat oder aus sonstigen gesetzlichen Gründen zwingend haftet. Ziffer 3.2 Absatz (3) bleibt stets unberührt.

3.3 Freistellung

Der Kunde verpflichtet sich, bei schuldhafter Verletzung der Vorgaben zum bestimmungsgemäßen Gebrauch gemäß Ziff. 6, insbesondere bei fehlender Rechtefreiheit des eingebrachten Inputs, sowie bei schuldhafter Verletzung der Vorgaben zur Zulässigen Nutzung des Outputs gemäß Ziff. 7, BASF von sämtlichen Ansprüchen Dritter freizustellen, die aus einer solchen Verletzung resultieren. Die Freistellung umfasst auch die angemessenen Kosten der Rechtsverteidigung.

4. Änderungen von Inhalten der BASF Apps

(1) BASF behält sich vor, die in der BASF-App angebotenen Leistungen, insbesondere einzelne Funktionalitäten, zu ändern, zu modifizieren oder abweichende Leistungen anzubieten. Der Kunde hat keinen Anspruch darauf, dass bestimmte Funktionalitäten beibehalten werden oder dass die BASF Apps um bestimmte Funktionalitäten erweitert werden.

(2) BASF behält sich darüber hinaus vor, die in den BASF Apps angebotenen Leistungen zu ändern, zu modifizieren oder abweichende Leistungen anzubieten,

(a) soweit BASF verpflichtet ist, die Übereinstimmung der von BASF angebotenen Funktionalitäten mit dem auf die Leistungen anwendbaren Recht herzustellen, insbesondere wenn sich die geltende Rechtslage ändert;

(b) soweit BASF damit einem gegen BASF gerichteten Gerichtsurteil oder einer Behördenentscheidung nachkommt;

(c) soweit die jeweilige Änderung notwendig ist, um bestehende Sicherheitslücken zu schließen;

(d) wenn die Änderung lediglich vorteilhaft für den Kunde ist; oder

(e) wenn die Änderung rein technischer oder prozessualer Natur ohne wesentliche Auswirkungen für den Kunde ist.

(3) Änderungen mit lediglich unwesentlichem Einfluss auf die Funktionen der BASF Apps stellen keine Leistungsänderungen im Sinne dieser Ziffer dar. Dies gilt insbesondere für Änderungen rein graphischer Art und die bloße Änderung der Anordnung von Funktionen.

5. Änderungen und Übertragung der Nutzungsbedingungen

(1) Ungeachtet Ziff. 1.2 behält BASF sich das Recht vor, diese Nutzungsbedingungen in Bezug auf Äquivalenzstörungen oder Regelungslücken zu ändern und die Nutzung der BASF Apps durch den Kunden neuen oder weiteren Nutzungsbedingungen zu unterwerfen, wobei sich die vorgenannten Änderungen ausdrücklich nicht auf den Inhalt der von BASF durch die BASF Apps erbrachten Leistungen beziehen werden. Ebenfalls ausgenommen sind Änderungen, welche die vertraglichen Hauptleistungspflichten der Parteien betreffen; diese können nicht wie im Rahmen dieser Klausel beschrieben einseitig geändert werden.

(2) BASF wird dem Kunden die geänderten Nutzungsbedingungen mindestens vier (4) Wochen vor dem geplanten Inkrafttreten über die bei der Registrierung angegebene E-Mail-Adresse bekannt geben und auf die Neuregelungen sowie das Datum des geplanten Inkrafttretens gesondert hinweisen. Zugleich wird BASF dem Kunden eine angemessene, mindestens zwei (2) Wochen lange Frist einräumen, um die auf diesen Nutzungsbedingungen basierenden Vertragsverhältnisse mit BASF fristlos zu kündigen, falls der Kunde mit den geänderten Nutzungsbedingungen nicht einverstanden ist. BASF wird den Kunden bei Bekanntgabe der geänderten Nutzungsbedingungen auf sein Kündigungsrecht, die hierfür geltende Frist und die Bedeutung des Schweigens hinweisen.

(3) Erfolgt innerhalb der vorgenannten Frist keine Kündigung durch den Kunden, so gelten mit Ablauf der Frist die geänderten Bedingungen.

(4) BASF behält sich das Recht vor, diese mit dem Kunde geschlossenen Nutzungsbedingungen auf ein anderes Unternehmen zu übertragen. Der Kunde wird über eine solche Übertragung informiert und kann innerhalb von 10 Kalendertagen, nachdem er die Information über die Übertragung erhalten hat, von den Nutzungsbedingungen zurücktreten.

6. Bestimmungsgemäßer Gebrauch der BASF Apps

Der Kunde verpflichtet sich zum bestimmungsgemäßen Gebrauch der BASF Apps. „Bestimmungsgemäßer Gebrauch“ im Sinne dieser Nutzungsbedingungen bezeichnet

(1) die Nutzung der BASF Apps ausschließlich für und im Rahmen ihrer bereitgestellten Funktionalitäten unter Einhaltung sämtlicher für die Durchführung der konkreten Simulation bzw. der Erstellung von Simulationsmodellen erforderlichen technische Anforderungen

(2) die Sicherstellung folgender Voraussetzungen für den Input durch den Kunden:

• Vollständigkeit und Richtigkeit; BASF prüft die Inhalte nicht, insbesondere nicht auf Vollständigkeit, Richtigkeit, Rechtmäßigkeit, Qualität und Eignung für einen bestimmten Zweck;
• Eignung für die Durchführung der Simulation und für den Simulationszweck, den der Kunde verfolgt;
• Freiheit von Rechten Dritter;
• verarbeitbares Dateiformat;
• technische Defektfreiheit.

7. Zulässige Nutzung des Outputs

Der Kunde verpflichtet sich, bei der Nutzung des Outputs folgende Vorgaben einzuhalten („Zulässige Nutzung des Outputs“):

• Verwendung nur zur Forschung- und Entwicklung, mithin als Ausgangspunkt für die weitere Entwicklung eines spezifischen Produkts;
• Interne Nutzung, insbesondere keine Übertragung oder Lizenzierung an Dritte, Verbreitung oder öffentliche Zugänglichmachung;
• Keine Verwendung zur unmittelbaren Nutzung in Produktion und/oder Fertigung, unabhängig davon, ob Prototyp- oder Serienproduktion;
• Keine Verwendung ohne eigene Verifizierungen, Simulationen, Testungen oder Prüfungen, soweit nötig unter realen Bedingungen;
• Keine Nutzung in Genehmigungs- und/oder Zertifizierungsverfahren;
• Beachtung sämtlicher Funktionalitäten, die technische Vorgaben zur Nutzung des Outputs machen;

8. Vertraulichkeit

(1) Die Parteien sind verpflichtet, die ihnen im Zusammenhang mit der Nutzung der BASF Apps zur Kenntnis gelangenden vertraulichen Informationen der anderen Partei vertraulich zu behandeln und nur zum Zwecke der Bereitstellung bzw. Nutzung der BASF Apps oder soweit nach diesen Nutzungsbedingungen insbesondere Ziff. 2.6, vorgesehen, zu nutzen.

(2) „Vertrauliche Informationen“ von BASF sind alle Informationen über die Funktionalitäten der BASF Apps (einschließlich seiner Algorithmen, Logiken und des Source Codes), Materialdaten und/oder materialbezogene Bibliotheksdateien, der Output sowie alle als vertraulich gekennzeichneten und/oder mündlich, schriftlich, elektronisch oder in sonstiger Form offenbarten Informationen, die zum Zeitpunkt der Offenbarung oder Kenntnisnahme aufgrund der Umstände der Offenbarung oder ihrer Art als vertraulich erkennbar sind. „Vertrauliche Informationen“ des Kunden sind sein Input.

(3) Von dieser Verpflichtung ausgenommen sind solche Vertraulichen Informationen,

(4) Diese Geheimhaltungsverpflichtung besteht auch nach Beendigung der Nutzungsbedingungen für eine Dauer von zehn (10) Jahren fort, sofern zwischen BASF und dem Kunden nicht eine anderweitige Geheimhaltung vereinbart wurde.

9. Feedback

(1) Durch die Bereitstellung oder Übermittlung von Ideen, Empfehlungen, Vorschlägen oder anderen Beiträgen, die auf die Verbesserung von und/oder kritische Rückmeldung zu den BASF Apps abzielen, insbesondere deren Funktionsfähigkeit oder den Output („Feedback“), unabhängig davon, ob diese ausdrücklich als Feedback bezeichnet werden, abzielen, erkennt der Kunde an und erklärt sich damit einverstanden, dass BASF dieses Feedback für jeden Zweck ohne Einschränkung und ohne Vergütung frei verwenden und verwerten darf.

(2) Der Kunde sichert zu, dass das Feedback keine Rechte Dritter verletzt. In allen anderen Fällen haftet der Kunde nur für Schäden, die durch Vorsatz oder grobe Fahrlässigkeit im Zusammenhang mit der Bereitstellung oder Übermittelung des Feedbacks entstehen.

10. Verschiedenes

(1) Sollten einzelne Bestimmungen dieser Nutzungsbedingungen ganz oder teilweise nichtig oder unwirksam sein oder werden, so wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. An die Stelle von nicht einbezogenen oder unwirksamen Nutzungsbedingungen werden BASF und der Kunde anstelle der nichtigen oder unwirksamen Bestimmung eine wirksame Regelung treffen, die ihr wirtschaftlich möglichst nahe kommt, soweit keine ergänzende Vertragsauslegung vorrangig oder möglich ist.

(2) Das Unterlassen der BASF, ein Recht oder Bestimmungen in dieser Vereinbarung durchzusetzen, begründet keinen Verzicht auf dieses Recht oder diese Bestimmung. BASF ist nicht verantwortlich für die Nichterfüllung von Pflichten aus Gründen, die BASF nicht zuzurechnen sind.

(3) Diese Nutzungsbedingungen und die Nutzung der BASF Apps unterliegen dem deutschen Recht unter Ausschluss kollisionsrechtlicher Regelungen, insbesondere des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf vom 11. April 1980 („CISG“) und der deutschen Kollisionsregeln. Gerichtsstand ist Mannheim.
