1. General information

BASF SE ("Provider") offers users a website, accessible under ultrasimweb.basf.com/mapper, through which the Provider shares his CAE competence with users via the application called “Mapper”, but exclusively on a test basis ("platform", "technology", “Mapper”). The user can assess whether Mapper or the platform or technology is potentially useful for his or her purposes. As part of this test, mapping results - as defined below - are provided to user on the basis of its CAD data transmitted by the user via the platform. These mapping results may neither be used for productive use in research and development projects, nor for test or prototypes or in series production by the user or third parties ("test phase").

This test phase is limited in time. Any rights and obligations arising from these Terms of Use, with the exception of Sec. 2 (8), 4 (5), 5 (3) and (3) as well as Sec. 7, 8 and 9, are limited to the period of this test phase.

The Mapper application combines information from the virtual manufacturing process with CAE models ("user data") using Ultrasim® technology. For this purpose, specific parts are provided with the Ultrasim® material description (material type, temperature, moisture, strain rate) and visualized in Mapper ("mapping results"). Next, the user can perform calculations and generate results ("Solver Results") by using the Ultrasim® Solver libraries ("Libraries"). Productive use, in any form, of the mapping results, solver results and/or the libraries is not permitted during this test phase. The Solver results and/or the libraries may only be used for testing the technology or the platform. The scope of the functionalities and thus the service provided is specified in No. 2. In addition to the terms of use of the application “molded” (https://ultrasimweb.basf.com/molded/terms_of_use), that are applicable to the technology or the platform, the use of mapper is also subject to the following supplementary terms of use.

2. Scope

(1) The provisions of No. 2 (1) to (3), (8) to (10) as well as (13) and (14) of the terms of use of molded apply accordingly, but limited to use in the test phase and only for this testing purpose.

(2) The Platform is provided within the test phase as set out in No. 1 exclusively to entrepreneurs in accordance with Section 14 (1) of the German Civil Code ("Users") for use free of charge. An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his or her commercial or self-employed professional activity. Consumers are not allowed to use the platform. The Provider will inform the Users within a reasonable period of time before the end of the test phase about any further plans with regard to the scope of the Platform, including any changes in the terms of use. In any case, the use of the platform ends at the end of the test phase.

(3) The provider makes its CAE competence online accessible on the platform, with mapper operating in the test phase. Within mapper, user data is supplemented with material information and material descriptions (Ultrasim®) of the provider. Specifically, the user uploads CAE models to the platform, which are visualized and supplemented with rheology and material data. The rheological data can either be created directly within mapper or uploaded by the user. Mapper provides no other material data than the material data of the provider.

(4) The user data analysed and supplemented in accordance with paragraph (2) will be displayed within mapper ("mapping results") and made available for download. Any further calculations deemed necessary or useful by User must be conducted by User through his or her own simulation programs. The Provider is not obliged to make the mapping results available in a specific file format or for use in a specific application. The provider has no legal obligation in this regard.

(5) The User provides User Data in the file formats of the solvers Abaqus, LS-Dyna, Ansys, Moldflow and Moldex3D by uploading it to the Provider's platform. The User warrants that the User Data meets the necessary requirements for the User's intended use and purpose. Otherwise, the User Data may not be edited with mapper. In case user processes without meeting the necessary requirements, this is not covered by the scope of the technology provided by the provider and therefore constitutes an unauthorised, non-contractual use of the platform.

(6) The provider, as the operator of the web-based application, provides the algorithms and methods for the automated analysis of user data. In addition, the provider supplies the computational resources required for analysis and mapping. This is done in a Microsoft Azure cloud infrastructure.

(7) The sharing of the mapping results and the request for support is carried out in accordance with the regulations in No. 2 (8) to (10) of molded's Terms of Use.

(8) In the Download section, the Provider offers Ultrasim® Solver Libraries ("Libraries") for download. The libraries, in combination with the mapping results, allow the user to use the Ultrasim® technology with a simulation program ("solver") and generate solver results. The ULTRASIM® technology is the provider's trade secret. It is at the discretion of the provider for which solvers or for which versions of solvers he offers libraries. The user is not entitled to libraries for specific solvers, nor is he entitled to libraries for specific versions of the solvers. Furthermore, the provider provides release notes ("Release Notes") for the libraries. The release notes include, among other things, information on which library is compatible with which Solver version. Based on the release notes, the user decides on the installation of the corresponding library. The Provider is not obliged to provide additional support (e.g. advice, installation assistance) and is also not part of the scope of the services provided by the Provider. Libraries may only be used with the solvers or the solver versions for which they are compatible. If corresponding updates of supported solvers lead to an update of the libraries being necessary, the provider will usually make an update of the corresponding library available in the download area within four (4) weeks. The provider does not provide any other notes in this regard to User. Only if an update of the library cannot take place within this period the provider will notify the user by e-mail. An update is only necessary if the use of the libraries leads to an incorrect import of the mapping results. If it is no longer possible to import, this does not constitute a compelling reason for such an update.

(9) In accordance with Section 1, the mapping results provided by the Provider through mapper as well as the further use of these results, e.g. by use with the libraries and the solver results calculated from them, are neither suitable for use in research and development projects, nor for test- or prototypes or in series production by the user or third parties during the test phase. The provider makes them available exclusively for testing purposes, which exclude any productive use.

3. Conclusion regarding the use and deployment of Mapper

Sections 3 and 4 of the terms of use of molded apply accordingly with the provision that mapper, platform/technology runs as a test operation only.

4. Obligations of the User

(1) The provisions of Sections 5 (1) to (8) of the Terms of Use for molded shall apply accordingly. In summary, but without reducing the scope of the aforementioned sections, the User is hereby expressly informed that the User Data provided by him must be complete, correct, lawful and available, as well as of the quality and suitability for its specific purpose. The user warrants this. If the mapping results are shared, this may only be done within the framework of the terms of use for molded and these supplementary terms of use. The same applies if mapping results are shared with the user by other users. As part of the support function, the user must provide all necessary information, the support of the provider is provided exclusively under the conditions described in Section 2 (7) of these supplementary terms of use.

(2) The user provides any of the user data in the file formats of the solvers Abaqus, LS-Dyna, Ansys, Moldflow and Moldex3D. The user data must meet the necessary requirements for the user's intended use.

(3) After any involved data has been merged and made available as output by mapper, the user must carry out further calculations with his own simulation programs outside the platform. In no case is mapper suitable to replace such calculations or other approval procedures or approval processes, whether by personnel or software.

(4) Libraries may only be used by the user with those solvers and the solver- versions for which they are compatible. The user is solely responsible for selecting, downloading, and installing the compatible version of a library. The user must regularly check whether corresponding updates to the library used are available in the download area.

(5) The User shall indemnify the Provider (including all group companies and all Service Recipients, their employees, officers, directors, shareholders, agents, successors and representatives) from any and all claims, actions, damages, costs, fines and expenses (including reasonable legal fees and expenses) or other liabilities arising out of or in connection with the User's Content, e.g. User Data (including the sharing of Mapping Results) under test use of mapper or downloaded libraries. This applies in particular to all claims and liabilities arising from (i) the infringement of prior rights of third parties in the information/data provided by the User (ii) any use of the mapping results by User (iii) resulting from sharing of mapping results or the use of such mapping results and/or (vi) other conduct in breach of contract (e.g. non-compliance with the provisions pursuant to Section 6), (iv) damage to the user's software/hardware caused by any use of the Libraries, and/or (v) the user's own incorrect calculations as well as any use of the libraries. In particular, the examples presented in (i) to (iii) and the dependence of the mapping and solver results on data of the user as well as the sharing of mapping results among the users regardless of the provider.

(6) The Provider reserves the right to exclude Users from using the Platform at any time, in particular if these Terms of Use (in particular the use of the mapping results), applicable law or the rights of third parties are breached by User. The Provider is entitled to block or delete all content without prior notice if the content violates these Terms of Use and/or applicable law.

5. Intellectual Property Rights

(1) The Provider grants the User the non-exclusive, worldwide right to use Mapper including the downloaded libraries limited in time for the duration of the test phase in accordance with these supplementary terms of use as well as the terms of use for molded. The content available in Mapper and the Platform, and in particular the source code, is protected by copyright and/or other intellectual property rights. The rights are owned by the provider, its business partners or other third parties. The Platform, Mapper and the content made available on the Platform or Mapper may therefore not be changed, expanded, edited, copied and/or otherwise distributed by the User. The provider explicitly points out that parts of the platform and the simulation/design software are open source software.

(2) The provisions of No. 6 (2) and (3) of the Terms of Use for molded apply accordingly.

(3) The User grants the Provider the non-exclusive, irrevocable, worldwide, royalty-free right to use the User Data as well as related information/data that the User makes or has made available to the Provider via the Platform or otherwise (e.g. when using the support function or in the context of the support provided/to be provided), for the creation of mapping results as well as the technical possibility of sharing content between users. This right is transferable or sublicensable to companies affiliated with the Provider in accordance with §§ 15ffAktG as well as to third parties that the Provider has commissioned or commissions to perform tasks within the framework of the Platform and Mapper. The Provider may make the information and data available to such third parties, their affiliated companies pursuant to Sections 15 et seq. of the German Stock Corporation Act (AktG) and companies affiliated with it pursuant to Sections 15 et seq. of the German Stock Corporation Act (AktG), who support the Provider in the fulfilment of its tasks or who are required for operational reasons. The right of use also expressly covers the use of user data/information for the further development of the algorithms/logics of the provider's CAE system, for example for the purpose of machine learning, deep learning.

The Provider's right of use ends with the provision of the mapping results generated on the basis of the user data/information provided by user. The Provider declares that the use of the Mapper by himself or its costumers or any other third party does not constitute a use of the user data/information. For the sake of clarity, the provider is free to use its own (software) products.

The Provider grants the User a non-exclusive, worldwide, irrevocable, free of charge, transferable and sublicensable right of use to the mapping results on the basis of the User data/information provided by the User, which is limited to the scope specified in Clause 2.This right of use therefore expressly does not include the use of the mapping results for the (further) development of components or their use in the individual and series production of the user or third parties.

6. Term and Termination

(1) With regard to the term and termination of the platform/technology, the provisions of Section 7 of the Terms of Use for molded apply.

(2) These supplementary terms of use for mapper are concluded for the duration of the use of mapper by the user and can be terminated in text form (e.g. by e-mail). The user must be informed of this in advance within a reasonable period of time, the duration of which depends on the type of reason for termination. Upon termination, the right to use the mapper including the downloaded libraries by the user ends, any rights of use of the provider to the user data/information also ends with the termination. Deviating from this, the provisions of Sec. 2 (7), 2 (8), 4 (5), 5 (3) and (4) as well as Sec. 7, 8 and 10, continue to apply. The Terms of Use can also be terminated by deleting the user account. Notices of termination to the provider must be addressed to ultrasim@basf.com.

(3) The right to terminate these supplementary terms of use for good cause with immediate effect remains unaffected.

(4) Upon termination of these Terms of Use, the User will immediately cease using Mapper and acknowledges that the Provider may block the User's access to Mapper.

7. Defect rights

The provision of mapper is made under exclusion of any warranty. This exclusion does not apply to claims by the User due to defects that the Provider has fraudulently concealed.

8. Limitation of Liability

(1) The Provider shall make Mapper available to the extent specified in Sections 1 and 2, i.e. exclusively for testing purposes. Any other use is not covered by the scope of the service provided, in particular any not productive use, regardless of the specific use case, is not within the scope. Furthermore, the user must comply with his obligations in accordance with Sections 2 (8) and 5 with regard to the mapping results.

(2) Due to mapper and the libraries being free of charge, the provider is only liable in cases of intent and gross negligence, provided that the user is compliant with Sec. 2 and fulfills its obligations pursuant to Sec. 5, unless otherwise provided for in this Sec. 8. Nothing in these Terms of Use limits or excludes any liability that cannot be effectively limited or excluded under applicable law.

(3) Provider shall provide the Libraries, Mapper, the mapping results, and the import thereof into Customer's Solver, as well as information provided by Vendor as part of the Support Function, with reasonable care and only on an "as is" basis.

(4) Vendor makes no representations or warranties of any kind with respect to mapper, the libraries provided, or the mapping results generated.

(5) In the event of simple negligent breaches of essential contractual obligations, the liability of the provider is limited to compensation for typical, foreseeable damages; in the event of simple negligent violations of non-essential contractual obligations, liability of the provider is excluded. The above limitations of liability do not apply to damages resulting from injury to life, limb or health as well as liability under the Product Liability Act. As far as legally possible, the liability of the Provider for damages or compensation for futile expenses is limited to an amount of EUR 1,000.00 per liability case, but in total to an amount of 3,000.00 per calendar year.

(6) Any further liability of the provider is excluded.

(7) The user is liable for all damages incurred by him, the provider or third parties due to incorrect user data or the incorrect import into his simulation programs. Furthermore, he is liable to other users for all damages incurred by them due to the sharing of mapping results. The User shall indemnify the Provider against all claims by third parties against provider that may arise due to incorrect user data, incorrect import by libraries, use of the mapping results in violation of the agreement or in the event of non-fulfilment of its obligations pursuant to No. 5.

(8) If the user shares content with another user in accordance with No. 2 (6), the sharing user is liable for all damages incurred by him, the provider or third parties as a result. This also applies to the user who uses shared content according to Sec. 2 (6). The Users indemnify the Provider against claims by third parties against the provider that may arise due to the use of the mapping results in violation of the agreement or in the event of non-fulfilment of its obligations pursuant to Sec. 5.

(9) In particular, the user is responsible for making backups of his system, including the platform.

9. Data protection and confidentiality

The regulations on data protection and confidentiality in accordance with Sections 10 and 11 of the Terms of Use for molded apply accordingly. The ULTRASIM® technology and thus the libraries represent trade secrets. Therefore, they must be kept secret by the user without any term limit and must be used in accordance with the provisions of Sec. 11 of the user agreements.

10. Feedback

By submitting any ideas, recommendations, suggestions, or other input aiming at improvement and/or critical response (collectively, “Feedback”) related to the Platform, technology, mapper, whether or not expressly designated as “Feedback,” the User acknowledges and agrees that the Provider shall be free to use and exploit such Feedback for any purpose, without restriction and without obligation to compensate.

The User warrants that the Feedback does not infringe any third-party rights. In any other cases, the User shall only be liable for any damages resulting from willful misconduct or gross negligence in connection with the provision of such Feedback.

11. Changes

These Supplemental Terms of Use are always valid in their current form, which can be accessed each time Mapper or the Libraries are used by the User under https://ultrasimweb.basf.com/mapper/terms_of_use. A change to these supplementary terms and conditions of use will be communicated to the user via an e-mail address provided by the user at least one week before the change. Unless the User objects, any changes communicated in this way shall be deemed to have been accepted by the User. Any objection must be communicated to the provider at the e-mail address ultrasim@basf.com. In the event of an objection, the user relationship will be terminated extraordinarily and without further notice by the provider. The provisions of Sec. 6 shall apply. The user's user account for the mapper will then be blocked.

12. Miscellaneous

(1) If one or more provisions of these Terms of Use are held to be invalid or unenforceable due to a violation of applicable law or for any other reason, the remaining Terms of Use shall remain in effect. The invalid or unenforceable provision shall be replaced by a valid, enforceable provision that comes closest to the mutual understanding of the parties.

(2) Provided that the User is a resident of the People's Republic of China, the User hereby confirms that he will not upload or otherwise disclose to the Provider any personal data and important data collected and produced by operators of critical information infrastructures. Furthermore, a user resident in the People's Republic of China will not upload files for military purposes that are used for critical infrastructure.

(3) The validity, interpretation and implementation of this Agreement shall be governed by the laws of the Federal Republic of Germany, excluding (i) its conflict of law provisions and (ii) the United Nations Convention on the International Sale of Goods of April 11, 1980.

(4) All lawsuits must be filed with the Mannheim Regional Court.

1. Allgemeine Informationen

BASF SE („Anbieter“) bietet den Nutzern unter ultrasimweb.basf.com/mapper im Internet eine Webseite an, die die CAE-Kompetenz des Anbieters den Nutzern ausschließlich testweise zur Verfügung stellt („Plattform“, „Technologie“). Der Nutzer prüft, ob der Einsatz der Plattform bzw. der Technologie für seine Zwecke sinnvoll ist. Im Rahmen dieses Test, wird daher auch die vom Anbieter auf Basis der vom Nutzer auf der Plattform übermittelten CAD-Daten zur Verfügung gestellten Mapping-Ergebnisse nicht zur produktiven Nutzung in Forschungs- und Entwicklungsprojekten, für Test- oder Prototypen oder gar in der Serienfertigung des Nutzers oder anderen Dritten eingesetzt („Testphase“). Diese Testphase ist zeitlich limitiert. Etwaige Rechte und Pflichten, die sich aus diesen Nutzungsbedingungen ergeben sind, mit Ausnahme der Ziff. 2 (8), 4 (5), 5 (3) und (3) sowie Ziff. 7, 8 und 9, auf den Zeitraum dieser Testphase beschränkt. Die Anwendung Mapper kombiniert Informationen aus dem virtuellen Herstellungsprozess mit CAE-Modellen („Nutzerdaten“) unter zu Hilfenahme der Ultrasim®-Technologie. Dazu werden ausgewählte Teile mit der Ultrasim®-Materialbeschreibung (Materialtyp, -temperatur, -feuchtigkeit, -dehnrate) versehen und im Mapper visualisiert („Mapping-Ergebnisse“). Der Anwender kann anschließend durch Nutzung der Ultrasim®-Solver-Bibliotheken („Bibliotheken“) Berechnungen bei sich durchführen und Ergebnisse generieren („Solver-Ergebnisse“). Eine produktive Nutzung, egal in welcher Form, der Mapping-Ergebnisse, Solver-Ergebnisse und/oder der Bibliotheken ist aufgrund der Testphase nicht gestattet. Die Solver-Ergebnisse und/oder die Bibliotheken dürfen ausschließlich für das Testen der Technologie bzw. der Plattform genutzt werden. Der Umfang der Funktionalitäten und damit der vom Anbieter zu erbringenden Leistung ist in Ziff. 2 geregelt. Die Nutzung des Mappers unterliegt neben den Nutzungsbedingungen der von molded (https://ultrasimweb.basf.com/molded/terms_of_use) zusätzlich den nachstehenden ergänzenden Nutzungsbedingungen.

2. Umfang

(1) Die Regelungen der Ziff. 2 (1) bis (3), (8) bis (10) sowie (13) und (14) der Nutzungsbedingungen von molded finden entsprechende Anwendung, allerdings beschränkt auf die Nutzung in der Testphase und nur für eben diesen Zweck.

(2) Der Anbieter stellt die Plattform im Rahmen der in Ziff. 1 genannten Testphase ausschließlich Unternehmern gemäß § 14 Abs. 1 BGB („Nutzer“) zur kostenlosen Nutzung zur Verfügung. Ein Unternehmer ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer gewerblichen oder selbstständigen beruflichen Tätigkeit handelt. Verbraucher dürfen die Plattform nicht nutzen. Über eine weitergehende Planung hinsichtlich der Plattform, einschließlich der Nutzung, etwaig veränderter Benutzungsbedingungen, wird der Anbieter die Nutzer rechtzeitig vor Ablauf der Testphase informieren. In jedem Falle endet die Nutzung der Plattform mit Ende der Testphase.

(3) Der Anbieter stellt auf der Plattform mit dem Mapper eine CAE-Kompetenz im Rahmen der Testphase online zur Verfügung. Mit dem Mapper werden Nutzerdaten um Materialinformationen und -beschreibungen (Ultrasim®) des Anbieters ergänzt. Konkret lädt der Nutzer CAE-Modelle auf der Plattform hoch, diese werden visualisiert und mit Rheologie- und Materialdaten versehen. Die rheologischen Daten können entweder unmittelbar im Mapper erstellt oder durch den Nutzer ebenfalls hochgeladen werden. Der Mapper bietet ausschließlich Zugriff auf die Materialdaten des Anbieters.

(4) Die entsprechend Absatz (2) analysierten und ergänzten Nutzerdaten werden im Mapper dargestellt („Mapping-Ergebnisse“) und zum Download zur Verfügung gestellt. Die für ihn wesentlichen und weiterführenden Berechnungen muss der Nutzer dann selbst in seinen eigenen Simulationsprogrammen durchführen. Der Anbieter ist nicht verpflichtet die Mapping-Ergebnisse in einem bestimmten Dateiformat oder zur Nutzung in einer bestimmten Anwendung zur Verfügung zu stellen. Der Nutzer hat hierauf keinen Anspruch.

(5) Der Nutzer stellt Nutzerdaten in den Dateiformaten der Solver Abaqus, LS-Dyna, Ansys, Moldflow und Moldex3D durch Hochladen in die Plattform des Anbieters zur Verfügung. Der Nutzer sichert zu, dass die Nutzerdaten den erforderlichen Anforderungen für den Verwendungszweck des Nutzers genügen. Andernfalls können sie mit dem Mapper nicht bearbeitet werden. Sollte eine Bearbeitung durch den Nutzer dennoch erfolgen, ist diese nicht vom Umfang der vom Anbieter zur Verfügung gestellten Technologie umfasst und stellt daher eine unerlaubte, abredewidrige Nutzung der Plattform dar.

(6) Der Anbieter als Betreiber der webbasierten Anwendungsform liefert die Algorithmen und Methoden für die automatisierte Analyse der Nutzerdaten. Darüber hinaus stellt der Anbieter die für die Analyse und Mapping erforderlichen Rechenressourcen zur Verfügung. Dies erfolgt in einer Microsoft Azure Cloud-Infrastruktur.

(7) Das Teilen der Mapping-Ergebnisse und die Anforderung von Unterstützung (Support) erfolgt nach Maßgabe der Regelungen in Ziff. 2 (8) bis (10) der Nutzungsbedingungen von molded.

(8) Im Bereich Download stellt der Anbieter Ultrasim®-Solver-Bibliotheken („Bibliotheken“) zum Herunterladen zur Verfügung. Die Bibliotheken ermöglichen dem Benutzer in Verbindung mit den Mapping-Ergebnissen bei sich mit einem Simulationsprogramm („Solver“) die Ultrasim®-Technologie zu nutzen und Solver-Ergebnisse zu erzeugen. Die ULTRASIM®-Technologie stellt Geschäftsgeheimnisse des Anbieters dar. Es steht im freien Ermessen des Anbieters, für welche Solver bzw. für welche Versionen von Solvern er Bibliotheken anbietet. Der Nutzer hat keinen Anspruch auf Bibliotheken für bestimmte Solver noch einen Anspruch auf Bibliotheken für bestimmte Versionen der Solver. Weiterhin stellt der Anbieter zu den Bibliotheken Release-Notes („Release Notes“) zur Verfügung. Die Release-Notes beinhalten u.a. welche Bibliothek mit welcher Solver-Version kompatibel ist. Auf Basis der Release-Notes entscheidet der Nutzer über die Installation der entsprechenden Bibliothek. Zu einem darüberhinausgehenden Support (z.B. Beratung, Installationshilfen) ist der Anbieter nicht verpflichtet und ist auch nicht Umfang der vom Anbieter zur Verfügung gestellten Leistungen. Bibliotheken dürfen ausschließlich mit den Solvern bzw. den Versionen dieser genutzt werden, für die sie kompatibel sind. Sofern entsprechende Updates von unterstützten Solvern ein Update der Bibliotheken zwingend erforderlich machen, wird der Anbieter in der Regel ein Update der entsprechenden Bibliothek innerhalb von vier (4) Wochen im Download-Bereich zur Verfügung stellen. Ein weiterer Hinweis seitens des Anbieters erfolgt nicht. Nur, wenn ein Update der Bibliothek nicht innerhalb dieses Zeitraums erfolgen kann, wird der Anbieter die Nutzer per E-Mail benachrichtigen. Zwingend erforderlich ist ein Update nur dann, wenn die Anwendung der Bibliotheken zu einem fehlerhaften Import der Mapping-Ergebnisse führt. Wenn kein Import mehr möglich ist, stellt dies keinen zwingenden Grund dar.

(9) Entsprechend Ziff. 1 sind die vom Anbieter durch den Mapper zur Verfügung gestellten Mapping-Ergebnisse sowie die Weiterverwertung dieser Ergebnisse, z.B. durch Nutzung mit den Bibliotheken und den daraus berechneten Solver-Ergebnisse nicht zur Nutzung in Forschungs- und Entwicklungsprojekten, für Test- oder Prototypen oder gar in der Serienfertigung des Nutzers oder anderen Dritten geeignet aufgrund der Testphase erlaubt und geeignet. Der Anbieter stellt sie ausschließlich für Test-Zwecke zur Verfügung, die jede produktive Verwendung ausschließen.

3. Abschluss bzgl. der Nutzung und Bereitstellung von Mapper

Die Ziffern 3 und 4 der Nutzungsbedingungen von molded finden entsprechende Anwendung mit der Maßgabe, das es sich um einen reinen Testbetrieb handelt.

4. Pflichten des Nutzers

(1) Die Regelungen der Ziff. 5 (1) bis (8) der Nutzungsbedingungen für molded geltend entsprechend. Zusammengefasst, aber ohne den Anwendungsbereich der vorgenannten Absätze zu verringern wird der Nutzer hier noch einmal ausdrücklich darauf hingewiesen, dass die von ihm zur Verfügung gestellten Nutzerdaten vollständig, richtig, rechtmäßig und verfügbar sein müssen sowie die Qualität und Eignung für ihren bestimmten Zweck haben müssen. Dies sichert der Nutzer zu. Sofern die Mapping-Ergebnisse geteilt werden, darf dies ausschließlich im Rahmen der Nutzungsbedingungen zu molded und diesen ergänzenden Nutzungsbedingungen geschehen. Gleiches gilt, wenn Mapping-Ergebnisse mit dem Nutzer durch andere Nutzer geteilt werden. Im Rahmen der Support-Funktion hat der Nutzer alle benötigten Informationen zur Verfügung zu stellen, der Support des Anbieters wird ausschließlich durch die in Ziff. 2 (7) dieser ergänzenden Nutzungsbedingungen beschriebenen Voraussetzungen erteilt.

(2) Der Nutzer stellt die Nutzerdaten in den Dateiformaten der Solver Abaqus, LS-Dyna, Ansys, Moldflow und Moldex3D bereit. Die Nutzerdaten müssen den erforderlichen Anforderungen für den Verwendungszweck des Nutzers genügen.

(3) Der Nutzer hat nach der Zusammenführung und Zurverfügungstellung der Daten durch den Mapper die eigentlichen Berechnungen mit seinen eigenen Simulationsprogrammen außerhalb der Plattform durchzuführen. In keinem Fall ist der Mapper geeignet, solche Berechnungen oder auch andere Genehmigungsverfahren oder Freigabeprozesse zu ersetzen, sei es durch Personal oder Software.

(4) Bibliotheken dürfen von dem Nutzer nur mit solchen Solvern und deren Versionen genutzt werden, für die sie kompatibel sind. Ausschließlich der Nutzer ist dafür verantwortlich, die kompatible Version einer Bibliothek auszuwählen, herunterzuladen und zu installieren. Der Nutzer hat regelmäßig zu prüfen, ob entsprechende Aktualisierungen der von ihm genutzten Bibliothek im Download-Bereich vorhanden sind.

(5) Der Nutzer stellt den Anbieter (einschließlich der Mitglieder des Unternehmens und aller Dienstleistungsempfänger, ihrer Mitarbeiter, Führungskräfte, Direktoren, Aktionäre, Vertreter, Nachfolger und Bevollmächtigten) von allen Ansprüchen, Klagen, Schäden, Kosten, Geldbußen und Ausgaben (einschließlich angemessener Rechtskosten und Auslagen) oder anderen Haftungen frei, die sich aus oder im Zusammenhang mit den Inhalten des Nutzers (einschließlich des Teilens von Mapping-Ergebnissen) im Rahmen der Testnutzung des Mappers oder heruntergeladener Bibliotheken ergeben. Dies gilt insbesondere für alle Ansprüche und Haftungen, die sich aus (i) dem Eingriff der vom Nutzer zur Verfügung gestellten Informationen/Daten in ältere Rechte Dritter ergeben (ii) der Nutzung des dem Nutzer vom Anbieter zur Verfügung gestellten Mapping-Ergebnissen ergibt (iii) aus dem Teilen von Mapping-Ergebnissen bzw. die Nutzung solcher Mapping-Ergebnisse und/oder (vi) anderen vertragswidrigen Verhalten ergeben (z.B. Nichteinhaltung der Regelungen gemäß Ziff. 6), (iv) durch Schäden an Soft-/Hardware des Nutzers durch jedwede Nutzung der Bibliotheken, und/oder (v) durch fehlerhafte eigene Berechnungen des Nutzers verursacht durch die Nutzung der Bibliotheken. Insbesondere die in (i) bis (iii) dargestellten Beispiele ergeben und der Abhängigkeit der Mapping- und Solver-Ergebnisse von Daten des Nutzers als auch dem Teilen von Mapping-Ergebnissen unter den Nutzern unabhängig vom Anbieter.

(6) Der Anbieter behält sich das Recht vor, die Nutzer jederzeit von der Nutzung der Plattform auszuschließen, insbesondere wenn gegen diese Nutzungsbedingungen (insbesondere der Nutzung der vom Anbieter zur Verfügung gestellten Mapping-Ergebnissen), geltendes Recht oder die Rechte Dritter verstoßen wird. Der Anbieter ist berechtigt, alle Inhalte ohne vorherige Ankündigung zu sperren oder zu löschen, wenn die Inhalte gegen diese Nutzungsbedingungen und/oder geltendes Recht verstoßen.

5. Geistige Eigentumsrechte

(1) Der Anbieter gewährt dem Nutzer das nicht-ausschließliche, für die Dauer der Testphase zeitlich befristete, weltweite Recht, den Mapper inkl. der heruntergeladenen Bibliotheken gemäß diesen ergänzenden Nutzungsbedingungen als auch den Nutzungsbedingungen für molded zu verwenden. Die im Mapper und der Plattform verfügbaren Inhalte und insbesondere der Quellcode sind durch Urheberrechte oder andere geistige Eigentumsrechte geschützt. Inhaber der Rechte sind der Anbieter, seine Geschäftspartner oder sonstige Dritte, die die entsprechenden Inhalte zur Verfügung gestellt haben. Die Plattform, der Mapper und die auf der Plattform bzw. dem Mapper zur Verfügung gestellten Inhalte dürfen daher vom Nutzer nicht verändert, erweitert, bearbeitet, kopiert und/oder anderweitig verbreitet werden. Der Anbieter weist darauf hin, dass Teile der Plattform und der Simulations-/Auslegungssoftware Open Source Software ist.

(2) Die Regelungen der Ziff. 6 (2) und (3) der Nutzungsbedingungen für molded gelten entsprechend.

(3) Der Nutzer räumt dem Anbieter das nicht-exklusive, unwiderrufliche, weltweite, unentgeltliche Recht zur Nutzung der Nutzerdaten sowie damit zusammenhängender Informationen/Daten, die der Nutzer dem Anbieter über die Plattform oder anderweitig zur Verfügung stellt bzw. gestellt hat (z.B. bei Nutzung der Supportfunktion bzw. im Rahmen des geleisteten/zu leistenden Supports), zur Generierung von Mapping-Ergebnissen sowie der technischen Möglichkeit Inhalte zwischen den Nutzern zu teilen ein. Dieses Recht ist an mit dem Anbieter gemäß §§ 15ffAktG verbundene Unternehmen sowie Dritte, die der Anbieter zur Erfüllung von Aufgaben im Rahmen der Plattform und des Mappers beauftragt hat bzw. beauftragt, übertragbar oder unterlizenzierbar. Der Anbieter wird die Informationen und Daten solchen Dritten, deren nach §§ 15ff AktG verbundenen Unternehmen und mit ihm gem. §§ 15ff AktG verbundenen Unternehmen zur Verfügung stellen, die ihn bei der Erfüllung seiner Aufgaben unterstützen oder es aus betriebsorganisatorischen Gründen erforderlich ist. Das Nutzungsrecht erfasst ausdrücklich auch Nutzung der Nutzdaten/Informationen für die Weiterentwicklung der Algorithmen/Logiken des CAE-Systems des Anbieters zum Beispiel zum Zwecke des Machine Learning, Deep Learning. Das Nutzungsrecht des Anbieters endet mit der Zurverfügungstellung der vom Anbieter auf Basis der vom Nutzer zur Verfügung gestellten Nutzdaten/Informationen generierten Mapping-Ergebnissen an den Nutzer. Der Anbieter erklärt, dass eine Nutzung des Mappers durch diesen bzw. seinen Kunden oder anderen Dritten entsprechend weiterentwickelter Algorithmen/Logiken keine Nutzung der Nutzdaten/Informationen darstellt. Diese Nutzung erfolgt unabhängig von diesen Nutzerdaten/Informationen. Klarstellend wird daher erwähnt, dass der Anbieter frei in der Nutzung seiner (Software-)Produkte ist.

Der Anbieter räumt dem Nutzer an den von ihm auf Basis der vom Nutzer zur Verfügung gestellten Nutzerdaten/Informationen generierten Mapping-Ergebnisse ein nicht-exklusives, weltweites, unwiderrufliches, unentgeltliches, übertragbares und unterlizenzierbares Nutzungsrecht ein, das auf den in Ziff. 2 festgelegten Umfang beschränkt. Dieses Nutzungsrecht umfasst daher ausdrücklich nicht eine Nutzung der Mapping-Ergebnisse für zur (Weiter-)Entwicklung für Bauteile bzw. deren Einsatz in der Einzel- und Serienfertigung des Nutzers oder anderer Dritter.

6. Laufzeit und Kündigung

(1) Bzgl. der Laufzeit und Kündigung der Plattform/Technologie gelten die die Regelungen der Ziff. 7 der Nutzungsbedingungen für molded.

(2) Diese ergänzenden Nutzungsbedingungen für den Mapper werden für die Dauer der Nutzung des Mappers durch den Nutzer geschlossen und können in Textform (z.B. per E-Mail) gekündigt werden. Der Nutzer ist hierüber vorab in einem angemessenen Zeitraum, dessen Dauer abhängig von der Art des Kündigungsgrundes ist, zu unterrichten. Mit Kündigung erlischt das Recht zur Nutzung des Mappers inkl. der heruntergeladenen Bibliotheken durch den Nutzer, etwaige Nutzungsrechte des Anbieters an den Nutzerdaten/Informationen erlöschen ebenfalls mit der Kündigung. Davon abweichend entfalten die Regelungen der Ziff. 2 (7), 2 (8), 4 (5), 5 (3) und (4) sowie Ziff. 7, 8 und 10, weiterhin Geltung. Die Nutzungsbedingungen können auch durch Löschen des Benutzeraccounts gekündigt werden. Kündigungen an den Anbieter sind an ultrasim@basf.com zu richten.

(3) Das Recht, diese ergänzenden Nutzungsbedingungen aus wichtigem Grund mit sofortiger Wirkung zu kündigen, bleibt unberührt.

(4) Nach Kündigung dieser Nutzungsbedingungen wird der Nutzer die Verwendung des Mappers unverzüglich einstellen und erkennt an, dass der Anbieter den Zugang des Nutzers zum Mapper sperren kann.

7. Mängelrechte

Die Bereitstellung des Mappers erfolgt unter Ausschluss der Gewährleistung. Dieser Ausschluss gilt nicht für Ansprüche des Nutzers aufgrund von Mängeln, die der Anbieter arglistig verschwiegen hat.

8. Haftungsbegrenzung

(1) Der Anbieter stellt den Mapper in dem in Ziff. 1 und 2 festgelegten Umfang zur Verfügung, also ausschließlich zu Testzwecken. Jede andere Nutzung ist von dem Umfang der vom Anbieter zur Verfügung gestellten Leistung nicht erfasst, insbesondere nicht eine produktive Nutzung, egal in welchem Fall. Weiterhin hat der Nutzer bzgl. der Mapping-Ergebnisse seinen Pflichten gemäß Ziff. 2 (8) und Ziff. 5 nachzukommen.

(2) Aufgrund der unentgeltlichen Zurverfügungstellung des Mappers und der Bibliotheken haftet der Anbieter, beschränkt auf Fälle von Vorsatz und grober Fahrlässigkeit, ausschließlich für Schäden, die dem Nutzer durch oder in Folge der Benutzung des Mappers in dem in Ziff. 2 festgelegten Umfang sowie bei Erfüllung der Pflichten des Nutzers gemäß Ziff. 5 entstanden sind, sofern in dieser Ziffer 8 nichts anderes geregelt wird. Nichts in diesen Nutzungsbedingungen schränkt eine Haftung ein oder schließt sie aus, die nach geltendem Recht nicht wirksam eingeschränkt oder ausgeschlossen werden kann.

(3) Der Anbieter stellt die Bibliotheken, den Mapper, die Mapping-Ergebnisse sowie den Import dieser durch die Bibliotheken in Solver des Kunden sowie Informationen, die der Anbieter im Rahmen der Support-Funktion übermittelt, mit angemessener Sorgfalt und lediglich „wie vorhanden“ bereit.

(4) Der Anbieter gibt im Hinblick auf den Mapper, die zur Verfügung gestellten Bibliotheken oder die erstellten Mapping-Ergebnisse keinerlei Zusicherungen oder Garantien ab.

(5) Im Falle einfach fahrlässiger Verletzungen wesentlicher Vertragspflichten beschränkt sich die Haftung des Anbieters auf den Ersatz typischer, vorhersehbarer Schäden; im Falle einfach fahrlässiger Verletzungen nicht wesentlicher Vertragspflichten ist eine Haftung des Anbieters ausgeschlossen. Vorstehende Haftungsbeschränkungen gelten nicht bei Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit sowie der Haftung nach dem Produkthaftungsgesetz. Sofern rechtlich möglich wird die Haftung des Anbieters auf Schadensersatz oder Ersatz für vergebliche Aufwendungen der Höhe nach auf einen Betrag von EUR 1.000,00 pro Haftungsfall, insgesamt jedoch auf einen Betrag von 3.000,00 pro Kalenderjahr beschränkt.

(6) Eine weitergehende Haftung des Anbieters ist ausgeschlossen.

(7) Der Nutzer haftet für alle Schäden, die ihm, dem Anbieter oder Dritten aufgrund fehlerhafter Nutzerdaten bzw. des fehlerhaften Imports in seine Simulationsprogramme entstehen selbst. Weiterhin haftet er anderen Nutzern für alle Schäden, die bei diesen aufgrund des Teilens von Mapping-Ergebnissen entstehen. Der Nutzer stellt den Anbieter von allen Ansprüchen Dritter frei, die aufgrund fehlerhafter Nutzerdaten, des fehlerhaften Imports durch Bibliotheken, der abredewidrigen Nutzung der Mapping-Ergebnisse oder bei Nichterfüllung seiner Pflichten gemäß Ziff. 5, gegen den Anbieter geltend gemacht werden.

(8) Sofern der Nutzer Inhalte mit einem anderen Nutzer gemäß Ziff. 2 (6) teilt, haftet der teilende Nutzer für alle Schäden, die ihm, dem Anbieter oder Dritten hierdurch entstehen selbst. Dies gilt entsprechend für den Nutzer, der mit nach Ziff. 2 (6) geteilte Inhalte nutzt. Die Nutzer stellen den Anbieter von Ansprüchen Dritter frei, die aufgrund der abredewidrigen Nutzung der Mapping-Ergebnisse oder bei Nichterfüllung seiner Pflichten gemäß Ziff. 5, gegen den Anbieter geltend gemacht werden

(9) Der Nutzer ist insbesondere selbst dafür verantwortlich, Backups seines Systems einschließlich der Plattform anzufertigen.

9. Datenschutz und Vertraulichkeit

Die Regelungen zum Datenschutz und Vertraulichkeit gemäß Ziff. 10 und 11 der Nutzungsbedingungen für molded finden entsprechende Anwendung. Die ULTRASIM®-Technologie und damit die Bibliotheken stellen Geschäftsgeheimnisse dar. Daher sind sie ohne jede Laufzeitbegrenzung vom Nutzer geheim zuhalten und entsprechend den Regelungen der Ziff. 11 der Nutzungsvereinbarungen zu sichern.

10. Änderungen

Diese ergänzenden Nutzungsbedingungen gelten stets in ihrer aktuellen Form, die unter https://ultrasimweb.basf.com/mapper/terms_of_use jedes Mal, wenn der Mapper oder die Bibliotheken vom Nutzer verwendet werden, aufgerufen werden können. Eine Änderung dieser ergänzenden Nutzungsbedingungen werden dem Nutzer über eine von ihm hinterlegte E-Mail-Adresse spätestens eine Woche vor Änderung mitgeteilt werden. Sofern der Nutzer nicht widerspricht, gelten solchermaßen mitgeteilte Änderungen als vom Nutzer akzeptiert. Der Widerspruch ist dem Anbieter an die Mail-Adresse ultrasim@basf.com mitzuteilen. Im Falle des Widerspruchs wird das Nutzungsverhältnis außerordentlich und ohne weitere Ankündigung vom Anbieter beendet. Die Regelungen der Ziff. 6 gelten entsprechend. Das Nutzerkonto des Nutzers für den Mapper wird dann gesperrt.

11. Verschiedenes

(1) Sollten eine oder mehrere Bestimmungen dieser Nutzungsbedingungen aufgrund eines Verstoßes gegen geltendes Recht oder aus einem anderen Grund ungültig oder nicht durchsetzbar sein, bleiben die übrigen Nutzungsbedingungen gültig. Die unwirksame oder nicht durchsetzbare Bestimmung ist durch eine wirksame, durchsetzbare Bestimmung zu ersetzen, die dem gegenseitigen Verständnis der Parteien am nächsten kommt.

(2) Unter der Voraussetzung, dass der Nutzer in der Volksrepublik China ansässig ist, bestätigt der Nutzer hiermit, dass er keine persönlichen Daten und wichtigen Daten, die von Betreibern kritischer Informationsinfrastrukturen gesammelt und produziert werden, hochladen oder anderweitig an den Anbieter weitergeben wird. Weiterhin wird ein in der Volksrepublik China ansässiger Nutzer keine Dateien für militärische Zwecke hochladen, die für kritische Infrastrukturen verwendet werden.

(3) Die Gültigkeit, Auslegung und Umsetzung dieser Vereinbarung unterliegt dem Recht der Bundesrepublik Deutschland unter Ausschluss (i) der Bestimmungen des Kollisionsrechts und (ii) des Übereinkommens der Vereinten Nationen über den internationalen Warenkauf vom 11. April 1980.

(4) Alle Klagen sind beim Landgericht Mannheim einzureichen.
